You must be at least 18 years old and able to form a binding contract to use the Service. If you use the Service on behalf of a company or other entity, you represent that you are authorized to bind that entity, and “you” includes that entity.

You are responsible for providing accurate registration information, for keeping your credentials confidential, and for all activity that occurs under your account. You must notify us promptly of any unauthorized use. We may suspend or terminate accounts that violate these Terms.

Clon Pilot uses artificial intelligence and third-party models to help you plan campaigns and generate text, images, and video, and to publish that content to social networks. AI-generated output can be inaccurate, incomplete, biased, offensive, or may unintentionally resemble existing works.

• You are solely responsible for reviewing, editing and approving all generated content before it is published or used.
• We do not warrant that generated content is accurate, original, non-infringing, fit for any purpose, or compliant with any law or platform policy.
• You must not rely on the Service as legal, financial, medical, or other professional advice.

You may upload logos, images, text, website URLs, product information and other materials (“User Content”). You retain ownership of your User Content. You grant us a worldwide, non-exclusive, royalty-free license to host, store, reproduce, modify and process your User Content solely to operate and provide the Service (including transmitting it to the third-party AI and publishing providers described below).

You represent and warrant that you own or have all rights, licenses and permissions necessary to your User Content and to the content you generate and publish, and that such content does not infringe any third party’s intellectual property, privacy, publicity or other rights, and does not violate any law.

Subject to your compliance with these Terms and to the terms of the underlying AI providers, you may use the content you generate through the Service for your own lawful marketing purposes. We make no representation that generated output is unique, protectable, or free of third-party rights, and identical or similar output may be generated for other users. Your rights in any output may be subject to the usage terms of the applicable AI model provider.

If you connect third-party accounts (e.g., Instagram, Facebook, LinkedIn), you authorize Clon Pilot to publish content on your behalf to those accounts. You are solely responsible for the content published, for complying with each platform’s policies and with all applicable laws (including advertising, disclosure, consumer-protection, and intellectual-property laws, such as FTC endorsement rules). We are not responsible for any platform action, including content removal, account suspension, throttling, or API changes.

• Paid plans are billed in advance on a recurring (e.g., monthly) basis and renew automatically until cancelled. Payments are processed by Stripe; by subscribing you authorize recurring charges.
• You are responsible for all applicable taxes. Prices and plan limits may change with prior notice; changes apply to subsequent billing periods.
• Plans include monthly usage quotas (e.g., images and videos). Usage is consumed as you generate content and does not roll over.
• You may cancel at any time; cancellation takes effect at the end of the current billing period. Except where required by law, fees already paid are non-refundable and we do not provide refunds or credits for partial periods or unused quota.

You agree not to use the Service to create, generate, or publish content, or to engage in conduct, that:

• is unlawful, fraudulent, deceptive, defamatory, harassing, hateful, or violent;
• infringes or misappropriates any intellectual property, privacy, or publicity right;
• impersonates any person or entity or misrepresents your affiliation;
• contains malware, or attempts to probe, scan, breach, overload, or reverse-engineer the Service;
• violates any third-party platform’s terms, any applicable law, or the rights of others; or
• generates spam, or sexual, child-endangering, or otherwise prohibited content.

We may remove content and suspend or terminate access for any suspected violation, without liability.

The Service relies on third parties, including OpenAI, kie.ai, Meta, LinkedIn, Cloudflare, Supabase, and Stripe. Your use of features that depend on them is also subject to their terms, and we are not responsible or liable for any third-party service, including outages, errors, charges, data handling, or changes to or termination of their services or APIs.

The Service, including its software, design, trademarks and content (excluding User Content and generated output), is owned by Urbicode Services LLC and protected by law. We grant you a limited, revocable, non-exclusive, non-transferable license to use the Service per these Terms. All rights not expressly granted are reserved.

If you send us suggestions or feedback, you grant us a perpetual, irrevocable, royalty-free license to use it for any purpose without obligation to you.

The Service and all content and output are provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory.

To the maximum extent permitted by law, we disclaim all warranties, including merchantability, fitness for a particular purpose, title, non-infringement, accuracy, and any warranty arising from course of dealing or usage. We do not warrant that the Service will be uninterrupted, secure, error-free, or that any content or output will meet your requirements or produce any particular result, including reach, engagement, or revenue.

To the maximum extent permitted by law, Urbicode Services LLC and its owners, officers, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business, arising out of or related to the Service or generated content, even if advised of the possibility of such damages.

Our total aggregate liability for all claims relating to the Service will not exceed the greater of (a) the amounts you paid to us for the Service in the three (3) months preceding the event giving rise to the claim, or (b) one hundred U.S. dollars ($100).

Some jurisdictions do not allow certain limitations; in such cases the above applies to the fullest extent permitted.

You agree to defend, indemnify and hold harmless Urbicode Services LLC and its owners, officers, employees and agents from and against any claims, liabilities, damages, losses and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your User Content or any content you generate or publish; (b) your use of the Service; (c) your violation of these Terms or any law; or (d) your violation of any third-party right, including any social-media platform’s terms.

These Terms apply while you use the Service. We may suspend or terminate your access at any time, with or without cause or notice, including for violation of these Terms. Upon termination, your license ends and we may delete your data subject to our Privacy Policy. Sections that by their nature should survive (including 4, 5, 10–14, 16) will survive.

These Terms are governed by the laws of the State of Florida, USA, without regard to conflict-of-laws rules.

Binding arbitration. Any dispute, claim or controversy arising out of or relating to the Service or these Terms shall be resolved by final and binding arbitration administered in Miami-Dade County, Florida, rather than in court, except that either party may bring an individual claim in small-claims court or seek injunctive relief for intellectual-property misuse.

Class-action & jury waiver. To the extent permitted by law, you and we agree that claims may be brought only in an individual capacity and not as a plaintiff or class member in any class, collective, or representative proceeding, and each party waives any right to a jury trial.

We may modify or discontinue the Service, or update these Terms, at any time. Material changes will be posted with an updated “Last updated” date and, where appropriate, notified to you. Your continued use after changes take effect constitutes acceptance.

If any provision is held unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them freely. These Terms, together with the Privacy Policy, are the entire agreement between you and us regarding the Service. We are not liable for delays or failures caused by events beyond our reasonable control (force majeure).
